In this fifth-annual message to directors, KPMG's Audit Committee Institute (ACI) highlights 10 items for audit committees to keep in mind as they consider and carry out their 2012 agendas.

From to-do number one, "Stay focused on the audit committee's top priority: financial reporting and related internal control risk" to number 10, "Monitor the PCAOB's initiatives on auditor independence and transparency, and consider the implications for the audit committee" -- the Ten To-Do's for Audit Committees in 2012 points to key issues that every audit committee should have on its radar as it helps guide the company forward in a challenging economy and uncertain regulatory and business environments.

This is an excellent list for a robust discussion of Audit Committee focus. The impacts of #6 and #7 extend to the full board and deserving of continuous discussion at each board meeting. The business world is littered with companies who exhibited group think or did not not understand changes in technology and the impact on their business.
